TERMS OF USE

Welcome to True Tickets, Inc’s (the “Company”, “True Tickets", “we”, “our” or “us”) proprietary ticketing delivery services and related services. We provide a ticketing delivery service to the venue from where you purchased original tickets and a ticket listing service to allow you to list your ticket on various marketplaces for resale (each a “Service” and collectively, the “Services”). These Terms of Use (this “Agreement”) govern your use of such the Services, which are accessible through each of our partner’s (each, a “Partner”) services available through each such Partner’s websites (“Partner Services”) or accessible through our website. Please read this Agreement carefully, as it (among other things) requires in Section 14 that you and True Tickets arbitrate certain claims instead of going to court and restricts class action claims.

By pressing or clicking “Accept” on any terms of use, terms of service or similar Agreement (“Partner Terms”) as a condition of using Partner Services, where such Partner Terms incorporate this Agreement by reference or otherwise, you agree to be legally bound by all terms and conditions herein. If you are viewing this Agreement on your mobile device, you can also view this Agreement via a web browser at http://www.true-tickets.com/terms-of-use. Your acceptance of this Agreement creates a legally binding contract between you and TRUE TICKETS. If you do not agree with any aspect of this Agreement, then do not press “Accept,” in which case you may not use the Service.

Note for Children. Use of the Services by anyone under the age of 13 is prohibited. Children under the age of 18 require parental approval.

Note on our Technology; How it Works. The Services provide a ticket delivery platform and rules engine for ticket sharing and resale. The Services are integrated by our Partners to provide certain functionality for the issuance and sale of tickets. In the event of any show cancellation or change, any refunds or reissues will be handled the applicable Partner. Because source and origin information related to the tickets are maintained on the Service, any refunds may be issued to the current ticket holder in lieu of the original purchaser. The Services also may enable transfers of Ticket Rights (as defined below) to other users of Partner Services. Ticket “transfers” may not be transacted on the Services for more than the face value of the underlying ticket. Any transfers conducted outside of the Services or the Partner Services, or any transfers conducted for more than face value, enabled by an offline monetary transfer is an express violation of this Agreement. You understand that True Tickets is not liable for any monetary transfers, regardless of whether the transfer was done in accordance with this Agreement, below face value, at face value, or above face value. You are solely responsible for your monetary transactions and agree to indemnify True Tickets for any liability associated with any such transfer. You understand and agree that when you purchase a ticket using a Partner Service, our Services give you the rights embodied by such ticket (“Ticket Rights”) according to rules set by the applicable Partner, not True Tickets, which rules may include without limitation rules in respect of geographical and/or time proximity to the event, and that the terms of purchase may include restrictions on your ability to sell and transfer tickets in accordance with applicable local Laws.

Note on our Partners. We connect different Partners to enable you to buy or sell tickets, and to transfer or receive tickets. Each of those Partners has its own Partner Terms as well as its own privacy policies. As set forth above, by using the Services, you understand and agree to be bound by these Partner Terms and privacy policies. Partners include without limitation the venue for which the ticket provides a license to access an event, platforms for optimizing ticket sales and platforms for sale or resale of tickets.

  1. Privacy Policy. True Ticket’s privacy policy, at www.true-tickets.com/privacy-policy (the “Privacy Policy”), describes the collection, use and disclosure of data and information (including without limitation location and usage data) by True Tickets in connection with the Services. The Privacy Policy, as may be updated by True Tickets from time to time in accordance with its terms, is hereby incorporated into this Agreement, and you hereby agree to the collection, use and disclosure practices set forth therein.
  2. Ownership; Proprietary Rights. As between you and True Tickets, True Tickets owns all worldwide right, title and interest, including without limitation all intellectual property and other proprietary rights, in and to the Services, the software and technology used by True Tickets to provide Service features and functionality and all usage and other data generated or collected in connection with the use thereof (the “Company Materials”). You may provide your personal information to True Tickets in connection with the use of the Services. You understand that any aggregates of your personal information, or anonymized or pseudonymized version of your personal information, constitutes Company Materials. Except as may be expressly set forth herein, you agree not to (i) use any robot, spider or other automatic device, process or means to access the Services, acquire Ticket Rights using the Services or circumvent any security measures or systems used on the Services; (ii) use any device, software or routine that interferes with the proper working of the Services nor shall you attempt to interfere with the proper working of the Services; (iii) take any action that imposes an unreasonable or disproportionately large load on the Services; (iv) access, reload or “refresh” transactional event or ticketing pages, or make any other request to transactional servers, more than once during any three second interval; (v) reverse engineer, decompile, disassemble, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make any unauthorized use of the Company Materials; (vi) rent, lease, distribute, sell, resell, assign, or otherwise transfer your rights to use the Services; (vii) use the Services for any purpose other than their intended purpose; (viii) interfere with or disrupt the integrity or performance of the Services; or (vi) attempt to gain unauthorized access to the Services. If you provide True Tickets with any ideas, feedback or suggestions regarding the Services (“Feedback”), you hereby assign to True Tickets all right, title and interest in and to such Feedback and acknowledge that True Tickets shall have the right to exploit such Feedback and related information in any manner it deems appropriate on a worldwide, perpetual basis without payment of any compensation to you.
  3. Prohibited Uses. As a condition of your use of the Services, you will comply with all applicable laws, regulations, guidance, ordinances and other binding pronouncement of governmental authorities (“Laws”) and will not use the Services for any purpose not in accordance with applicable Laws or prohibited by this Agreement, or that would cause a breach of any applicable agreements with third parties to which you are bound (such as, by way of example, your agreement with your wireless data services carrier). Without limiting the foregoing, as the seller or buyer of a ticket, you must comply with all Laws applicable to being a seller or buyer of such a ticket, as applicable to you. You may not use the Services in any manner that in our sole discretion could damage, disable, overburden, impair or interfere with any other party’s use of the Services. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. In addition, you agree not to use false or misleading information in connection with your user account and acknowledge that True Tickets reserves the right to disable any user account with a profile which True Tickets reasonably believes is false or misleading (including without limitation a profile that impersonates a third party). The Services use software and technology that may be subject to United States and foreign export controls. You acknowledge and agree that the Services shall not be used, and none of the underlying information, software, or technology may be transferred or otherwise exported or re-exported to countries as to which the United States maintains an embargo (collectively, “Embargoed Countries”), or to or by a national or resident thereof, or any person or entity on the U.S. Department of Treasury’s List of Specially Designated Nationals or the U.S. Department of Commerce’s Table of Denial Orders (collectively, “Designated Nationals”). The lists of Embargoed Countries and Designated Nationals are subject to change without notice. By using the Services, you represent and warrant to True Tickets that: (i) you are not located in, under control of or a national or resident of an Embargoed Country or any country that has been designated by the United States as a “terrorist-supporting” country; and (ii) you are not a Designated National.  
  4. Login Credentials. True Tickets may enable you to establish a username and password for access and use of the Services. You are responsible for maintaining the confidentiality and security of all such login credentials. You are solely responsible for any and all access and use of the Services that occurs under your login credentials. You agree to let us know immediately if your login credentials have been compromised.

 

  1. Security. You shall not circumvent or otherwise interfere with any user authentication or security of our Services. True Tickets will deploy commercially reasonable security precautions intended to protect against unauthorized access to any of your data stored by True Tickets in connection with your use of the Services. You acknowledge that, notwithstanding the security precautions deployed by True Tickets, the use of, or connection to, the Internet provides the opportunity for unauthorized third parties to circumvent such precautions and gain access to your data. True Tickets cannot and does not guarantee the privacy, security, integrity or authenticity of any information transmitted over or stored in any system connected to or accessible via the Internet or otherwise or that any such security precautions will be adequate or sufficient.
  2. Mobile Services. Use of the Services via your mobile device requires usage of data services provided by your wireless service carrier. You acknowledge and agree that you are solely responsible for data usage fees and any other fees that your wireless service carrier may charge in connection with your use of the Services.
  3. Listing and Resale of Tickets. You understand that the applicable Partner may enforce its own rules and regulations concerning the quantity and the price of the tickets being resold. Subject to any such rules, when you list your ticket, you will be able to set the price for which you are willing to sell your ticket. True Tickets may recommend a price but True Tickets does not guarantee that the ticket will sell at such price or at any price. True Tickets does not guarantee that your ticket will sell or that your listing will appear on any marketplace within a certain time after it is posted or in any particular order on the event page or through search results. True Tickets will not provide compensation for any ticket that does not sell, including without limitation in the event of unavailability of the Services due to an outage, maintenance or listing delays. Without limiting Section 3, you agree to comply with all applicable Laws and the terms of this Agreement when listing and selling your Ticket. You understand that the applicable Partner is solely liable for preventing any resale of tickets that is prohibited by law.
    • Process. To use the Services to list your ticket on various marketplaces, you must create a True Tickets account and register with us by establishing a username and password and providing us with your banking information so that we can provide you with the proceeds from the sale. You understand that the Services may list your ticket on more than one marketplace. True Tickets collaborates with a third-party payment processor to ensure that your banking information remains secure. Upon completion of the sale, the revocable license that your ticket represents will be transferred to the buyer of your ticket, who will then be considered the lawful owner of such ticket and therefore obtain the revocable license that such ticket represents. You understand that ALL SALES ARE FINAL.

 

  • Payments and Fees. If your ticket is sold, you will be sent payment within thirty (30) business days following the event. The payment you receive will be net of any fees that True Tickets charges to facilitate the listing, distribution and sale of your ticket through Partner Services, including without limitation the fees payable to any Partner. The fees may vary depending on the marketplace through which the sale of your tickets actually occurs. An estimate of fees will be made available to you before you proceed with the listing of your ticket. You understand that such amount is an estimate. You understand that True Tickets’ obligation to pay you is subject to and conditional upon successful receipt of the associated payments by True Tickets. If an event is cancelled, the applicable Partner may not commence the payout until after the original date of the event to ensure that all parties are remunerated appropriately. The Services may provide functionality allowing you to make or receive payment through a third-party payment processor, which may require you to create and register an account that is separate from your True Tickets account. When you use such third party’s services to make or receive payment, your personal information will be collected by such third party and not by us, and will be subject to such third party’s privacy policy, rather than our Privacy Policy. True Tickets has no control over, and is not responsible for, such third party’s collection, use and disclosure of your data and information.

 

  • Taxes. Unless required by law, True Tickets is not responsible in any way for the accuracy or suitability of any payment of any applicable taxes on your behalf. As a seller, you are responsible for determining whether any taxes are due on the sale of your ticket and for collecting and remitting such taxes. You agree to provide us with your tax identification number (“TIN”) if it is necessary for True Tickets to provide such information to the relevant tax authorities. True Tickets is required by the Internal Revenue Service (“IRS”) to collect TIN from certain sellers who sell tickets to events located in the United States. The relevant thresholds for providing a TIN are subject to change pursuant to Laws promulgated by the IRS and Laws promulgated by relevant state tax authorities. If you meet the applicable thresholds, True Tickets will send you an email with instructions on how to add your TIN to your account. True Tickets reserves the right to charge you an additional compliance fee on your transactions that exceed such thresholds and also reserves the right to withhold payment from you until True Tickets receives a valid TIN from you.
  1. Third-Party Products and Sites. The Services may also include advertisements or other links that allow you to access websites or other online services that are owned and operated by third parties. You acknowledge and agree that True Tickets is not responsible and shall have no liability for the content of such third-party products, sites or services, or products or services made available through such third-party sites or services, or your use of or interaction with such third-party sites or services.
  2. Third-Party Services. The Services may include features or functionality that interoperate with online services operated by third parties (such services, “Third-Party Services”), pursuant to agreements between True Tickets and the operators of such Third-Party Services (such agreements, “Third-Party Agreements” and such operators, “Operators”) or through application programming interfaces or other means of interoperability made generally available by the Operators (“Third-Party APIs”) which True Tickets does not control. Third-Party Agreements and Third-Party APIs (and the policies, terms and rules applicable to Third-Party APIs) may be modified, suspended or terminated at any time. True Tickets shall have no liability with respect to any such modification, suspension or termination. You are responsible for ensuring that your use of the Services in connection with any Third-Party Service complies with all agreements, policies, terms and rules applicable to such Third-Party Service.
  3. Termination. You may terminate this Agreement by terminating your Partner Service account in accordance with the Partner Terms and terminating your True Tickets account. We have the right to delete your True Tickets account when you or the applicable Partner terminate your Partner Service account. If applicable, it is possible that this string could be decrypted by third parties using advanced hacking techniques, despite our use of encryption technologies. You agree that True Tickets will have no liability for such malicious activities, or misuse of your personal data as a result thereof. You agree that True Tickets, in its sole discretion, without prior notice and for any or no reason, may terminate this Agreement, your account or your use of the Services, render your orders, Ticket Rights or resale listing inaccessible, or exercise any other remedy available, if True Tickets believes that your conduct or the conduct of any person with whom True Tickets believes you act in concert violates or is inconsistent with this Agreement or the law, or violates the rights of True Tickets, a customer of True Tickets or another user of the Services. Violating any limitations or terms on the Services, including without limitation utilizing automated means to access or acquire Ticket Rights, will be deemed to be a violation of this Agreement. If True Tickets is unable to verify or authenticate any information or Ticket Rights you provide during any registration, Ticket Right posting, authentication, delivery, or any other process, you may be prohibited from accessing your Ticket Rights or using the Services. You agree that monetary damages may not provide a sufficient remedy to True Tickets for violations of this Agreement and you consent to injunctive or other equitable relief for such violations. We are not required to provide any refund to you if we exercise any of our rights or remedies because you have violated this Agreement or any of our rights. True Tickets may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your use of the Service or any account you may have or portion thereof may be effected without prior notice, and you agree that True Tickets shall not be liable to you or any third party for any such termination. Sections 2–20 will survive any termination of this Agreement.
  4. Disclaimers; No Warranties. WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES. THE SERVICES AND ANY MEDIA, INFORMATION OR OTHER MATERIALS MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, TRUE TICKETS , AND ITS LICENSORS AND PARTNERS, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF PROPRIETARY RIGHTS. TRUE TICKETS AND ITS LICENSORS AND PARTNERS DO NOT WARRANT THAT THE FEATURES AND FUNCTIONALITY OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE AVAILABLE THE FEATURES AND FUNCTIONALITY THEREOF ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE FOREGOING DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
  5. Indemnification; Hold Harmless. You agree to indemnify and hold True Tickets and its affiliates, officers, directors, employees, agents, and third-party partners and suppliers harmless from any claims, losses, damages, liabilities, costs, interest and expenses, including without limitation reasonable attorneys’ fees, (any of the foregoing, a “Claim”) arising out of or relating to your use or misuse of the Services or any third-party product or service, violation of this Agreement, taxes applicable to any transaction conducted by you in connection with this Agreement (including without limitation a sale or purchase), or infringement, misappropriation or violation of the intellectual property or other rights of any other person or entity, provided that the foregoing in this Section 12 does not obligate you to the extent that the Claim arises out of True Tickets’ willful misconduct or gross negligence. True Tickets reserves the right, at True Tickets’ own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify True Tickets and you agree to cooperate with True Tickets’ defense of these claims.
  6. Limitation of Liability and Damages. UNDER NO CIRCUMSTANCES, INCLUDING WITHOUT LIMITATION NEGLIGENCE, SHALL TRUE TICKETS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR THIRD-PARTY PARTNERS OR SUPPLIERS, BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, MULTIPLE OR OTHER INDIRECT DAMAGES, OR ANY LOST PROFITS, LOST REVENUES OR LOST OPPORTUNITIES, THAT RESULT FROM OR RELATE TO THE SERVICES, INCLUDING WITHOUT LIMITATION YOUR USE THEREOF, OR ANY OTHER INTERACTIONS WITH TRUE TICKETS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRUE TICKETS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR THIRD-PARTY PARTNERS OR SUPPLIERS’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT IN FEES THAT TRUE TICKETS HAS EARNED FROM TRANSACTIONS CONDUCTED BY YOU IN THE THREE (3) MONTHS PRIOR TO THE EVENTS GIVING RISE TO THE MOST RECENT CLAIM. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU, IN WHICH CASE, TRUE TICKETS ’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
  7. Arbitration.
    • Agreement to Arbitrate. This Section 14 is referred to herein as the “Arbitration Agreement.” You and True Tickets each agrees that any and all controversies, claims, or disputes between you and True Tickets arising out of, relating to, or resulting from this Agreement, shall be subject to binding arbitration pursuant to the terms and conditions of this Arbitration Agreement, and not any court action (other than a small claims court action to the extent the claim qualifies). The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
    • Class Action Waiver. THE PARTIES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING WITHOUT LIMITATION MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S).
    • Procedures. Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's ("AAA") Consumer Arbitration Rules (the "AAA Rules"), as modified by this Arbitration Agreement. If there is any inconsistency between the AAA Rules and this Arbitration Agreement, the terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration. The arbitrator must also follow the provisions of this Agreement as a court would, including without limitation the limitation of liability provisions in Section 13. You may visit http://www.adr.org for information on the AAA and http://www.adr.org/fileacase for information on how to file a claim against True Tickets.
    • Venue. The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, you or True Tickets may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on each party, but subject to the arbitrator's discretion to require an in-person hearing if the circumstances warrant. Attendance at any in-person hearing may be made by telephone by either or both parties unless the arbitrator requires otherwise.
    • Governing Law. The arbitrator will decide the substance of all claims in accordance with the Laws of the Commonwealth of Massachusetts, without regard to its conflicts of laws rules, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different users of the Services but is bound by rulings in prior arbitrations involving you to the extent required by applicable law.
    • Costs of Arbitration. Payment of all filing, administration, and arbitrator fees (collectively, the "Arbitration Fees") will be governed by the AAA Rules. Each party will be responsible for all other fees it incurs in connection with the arbitration, including without limitation all attorneys’
    • Confidentiality. All aspects of the arbitration proceeding, and any ruling, decision or award by the arbitrator, will be strictly confidential for the benefit of all parties.
    • Severability. If a court decides that any term or provision of this Arbitration Agreement other than Section 2 is invalid or unenforceable, you and True Tickets agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. If a court decides that any of the provisions of Section 14.2 is invalid or unenforceable, then the entirety of this Arbitration Agreement shall be null and void. The remainder of this Agreement will continue to apply.
  8. Claims. YOU AND TRUE TICKETS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
  9. Export. The Services may use encryption technology that is subject to licensing requirements under the U.S. Export Administration Regulations, 15 C.F.R. Parts 730-774 and Council Regulation (EC) No. 1334/2000. You agree to comply strictly with all applicable export Laws and assume sole responsibility for obtaining licenses to export or re-export as may be required. True Tickets and its licensors make no representation that the Services are appropriate or available for use in locations other than the United States of America or any jurisdiction in which any venue for an event that is hosted by a Partner that has an agreement with us regarding transacting tickets using the Services.
  10. Changes to Agreement. True Tickets may make modifications, deletions and/or additions to this Agreement (“Changes”) at any time. Changes will be effective: (i) thirty (30) days after we or the applicable Partner provides notice of the Changes, whether such notice is provided through the Service, is sent to the e-mail address associated with your account or otherwise; or (ii) when you opt-in or otherwise expressly agree to the Changes or a version of this Agreement incorporating the Changes (including without limitation via accepting Partner Terms incorporating this Agreement incorporating the Changes), whichever comes first.
  11. Electronic Communications. When you communicate with True Tickets through the Services or send us e-mail, you are communicating with us electronically. You hereby: (a) consent to receive communications from True Tickets in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. The foregoing does not affect any rights you may have which cannot be waived under applicable law.
  12. Miscellaneous. This Agreement shall be governed by and construed in accordance with the Laws of the Commonwealth of Massachusetts, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to this Agreement or the Services that is not subject to arbitration under Section 14 shall be filed only in the state or federal courts in Boston, Massachusetts and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. The failure of any party at any time to require performance of any provision of this Agreement shall in no manner affect such party’s right at a later time to enforce the same. A waiver of any breach of any provision of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions of this Agreement. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not (except as otherwise set forth in Section 8) affect the validity and enforceability of any remaining provisions. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by True Tickets without restriction. This is the entire agreement between us relating to the subject matter herein and shall not be modified except in a writing, signed by both parties, or by a change to this Agreement made by True Tickets as set forth herein.
